TERMS OF USE FOR AI TOOLS AND PRODUCTS

These Terms of Use (“Terms”) govern your access to and use of artificial intelligence tools, plugins, skills, prompts, workflows, and related products (collectively, “Tools”) made available by Scale LLP (“Scale,” “we,” “our,” or “us”) through our website or other distribution channels. By downloading, installing, accessing, or using any Tool, you (“User” or “you”) agree to be bound by these Terms. If you do not agree, do not download or use the Tools.

These Terms supplement Scale LLP’s general Terms of Use and Privacy Policy, which are incorporated herein by reference. In the event of a conflict between these Terms and the general Terms of Use, these Terms shall control with respect to the Tools.

1.      No Legal Advice

  • No AI-Generated Content Constitutes Legal Advice. The Tools may interact with, incorporate, or generate content using third-party artificial intelligence platforms, including but not limited to Claude (Anthropic), ChatGPT (OpenAI), Gemini (Google), Mixus, and other large language models or AI services (collectively, “AI Platforms”). Content generated by any AI Platform, whether accessed through a Tool or otherwise, does not constitute legal advice from Scale LLP, regardless of whether a Scale attorney or other personnel designed, reviewed, edited, approved, or had visibility into the prompt, the output, or the underlying Tool.
  • Attorney Review Does Not Create Legal Advice. The fact that an attorney at Scale LLP has viewed, reviewed, or had access to any AI-generated content, any communication between a User and an AI Platform, or any output produced by a Tool does not, by itself, transform that content into legal advice. Only a direct, individualized communication from a licensed attorney at Scale LLP to a client of the firm, delivered orally or in writing, in the context of an established attorney-client relationship, constitutes legal advice from Scale LLP.
  • AI Limitations and User Responsibility. AI-generated content may be inaccurate, incomplete, outdated, or misleading. AI systems can produce errors, hallucinations, and fabricated information, including fabricated legal citations and case references. Users should independently verify all AI-generated content and should not rely on such content as a substitute for professional legal advice. Users with legal questions should consult a licensed attorney.

2.      No Attorney-Client Relationship

  • No Relationship Arising from Tool Use. Downloading, installing, accessing, or using any Tool made available by Scale LLP does not create, and shall not be construed as creating, an attorney-client relationship between the User and Scale LLP or any of its attorneys, partners, associates, or personnel.
  • Engagement Letter Required. An attorney-client relationship with Scale LLP arises only upon the execution of a written engagement letter signed by both the prospective client and an authorized representative of Scale LLP. No other act, communication, or course of dealing shall give rise to an attorney-client relationship.
  • No Duty Owed. Absent a signed engagement letter, Scale LLP owes no duty of care, loyalty, confidentiality, or any other fiduciary duty to any User of the Tools.

3.      Attorney-Client Privilege

  • No Guarantee of Privilege. Whether the attorney-client privilege protects any particular communication is a legal determination that can only be made by a court of competent jurisdiction. Scale LLP does not and cannot guarantee that any communication—whether conducted through a Tool, an AI Platform, or otherwise—is or will be deemed privileged.
  • Unsettled Law Regarding AI Communications. Communications with an AI Platform that are accessible to or viewable by a User’s attorney may, under certain circumstances, be protected by the attorney-client privilege. However, the law governing the application of the attorney-client privilege to AI-assisted communications is unsettled and rapidly evolving. The availability of the privilege may depend on the particular facts and circumstances of the communication, including but not limited to: (i) whether and to what extent the User’s data is accessible to the AI Platform’s publisher or its subprocessors; (ii) the terms of service and data handling practices of the AI Platform; (iii) the nature and content of the User’s prompt; (iv) the nature and content of the AI-generated response; (v) whether the communication was made for the purpose of seeking or providing legal advice; (vi) the jurisdiction in which a privilege claim is asserted; and (vii) the reasonable expectations of confidentiality at the time of the communication.
  • User Responsibility. Users are solely responsible for evaluating the privilege implications of their communications and for consulting with their own legal counsel regarding whether and how the attorney-client privilege may apply to any particular communication involving an AI Platform or Tool.

4.      Intellectual Property

  • Ownership of Tools. Scale LLP and its licensors retain all right, title, and interest in and to the Tools, including all intellectual property rights therein. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Tools solely for your lawful purposes and in accordance with these Terms.
  • You shall not: (i) copy, modify, adapt, or create derivative works of any Tool except as expressly permitted; (ii) reverse engineer, decompile, or disassemble any Tool; (iii) sublicense, sell, resell, transfer, assign, or distribute any Tool; (iv) use any Tool to develop a competing product or service; or (v) remove or alter any proprietary notices, labels, or marks on any Tool.
  • User Content. You retain ownership of any content you input into or generate through the Tools. However, you grant Scale LLP a limited, non-exclusive license to process such content solely as necessary to provide and improve the Tools, subject to Scale LLP’s Privacy Policy.

5.      Third-Party AI Platforms and Services

  • Third-Party Terms. The Tools may require or facilitate interaction with third-party AI Platforms and services. Your use of such platforms is subject to the respective terms of service, privacy policies, and acceptable use policies of those third parties. Scale LLP is not a party to and is not responsible for any third-party terms or practices.
  • Data Handling by Third Parties. When you use a Tool that interfaces with a third-party AI Platform, your inputs and data may be transmitted to and processed by that third party in accordance with its own policies. Scale LLP does not control and is not responsible for how third parties collect, use, store, or share your data. Users should review the data handling practices of any AI Platform before submitting confidential, proprietary, or sensitive information.
  • No Endorsement. The availability of a Tool that interfaces with a particular AI Platform does not constitute an endorsement by Scale LLP of that platform’s accuracy, reliability, security, or fitness for any purpose.

6.      Disclaimer of Warranties

THE TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SCALE LLP DOES NOT WARRANT THAT THE TOOLS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SCALE LLP MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT.

7.      Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCALE LLP, ITS PARTNERS, ASSOCIATES, ATTORNEYS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE TOOLS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SCALE LLP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SCALE LLP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE TOOLS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

8.      Indemnification

You agree to indemnify, defend, and hold harmless Scale LLP and its partners, associates, attorneys, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use or misuse of the Tools; (ii) your violation of these Terms; (iii) your violation of any applicable law or regulation; or (iv) any content you input into or generate through the Tools.

9.      Privacy and Data

  • Privacy Policy. Your use of the Tools is subject to Scale LLP’s Privacy Policy, which describes how we collect, use, and disclose information in connection with the Tools.
  • No Expectation of Confidentiality for Non-Clients. Unless you are a client of Scale LLP pursuant to a signed engagement letter, information you provide through or in connection with the Tools is not subject to any duty of confidentiality owed by Scale LLP. Do not submit information through the Tools that you wish to remain confidential unless you are an existing client acting within the scope of your engagement.

10.    Acceptable Use

You agree not to use the Tools to: (i) violate any applicable law, regulation, or third-party right; (ii) submit false, misleading, or fraudulent information; (iii) interfere with or disrupt the Tools or associated infrastructure; (iv) attempt to gain unauthorized access to any system or network; (v) use the Tools for any purpose that is harmful, abusive, or objectionable; or (vi) use the Tools in any manner that could create liability for Scale LLP or impair the provision of the Tools to other users.

11.    Modifications and Termination

  • Scale LLP reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised “Last Updated” date. Your continued use of the Tools after any modification constitutes your acceptance of the updated Terms.
  • Scale LLP may suspend or terminate your access to the Tools at any time, with or without cause, and without prior notice. Upon termination, all licenses granted under these Terms shall immediately cease.

12.    Governing Law and Dispute Resolution

  • Governing Law. These Terms shall be governed by and construed in accordance with the laws of California, without regard to its conflict of laws principles.
  • Dispute Resolution. Any dispute arising out of or relating to these Terms or the Tools shall be resolved exclusively in the state or federal courts located in San Francisco County, CA, and you hereby consent to the personal jurisdiction of such courts.
  • Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.

13.    General Provisions

  1. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with Scale LLP’s general Terms of Use and Privacy Policy, constitute the entire agreement between you and Scale LLP with respect to the Tools and supersede all prior or contemporaneous communications regarding such subject matter.

No Waiver. The failure of Scale LLP to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it at a later time.

Assignment. You may not assign or transfer these Terms or any rights hereunder without Scale LLP’s prior written consent. Scale LLP may assign these Terms without restriction.
