
Holden Stein

Holden is a seasoned corporate attorney with more than 30 years of experience advising companies, founders, and investors on mergers and acquisitions, complex commercial transactions, and day-to-day business matters. He works closely with clients across the full business lifecycle, providing practical, business-minded counsel on entity formation and structuring, financings, reorganizations, and strategic transactions.
Holden represents a wide range of businesses, from early-stage ventures to multinational companies, and frequently serves as outside general counsel, advising on both routine and high-stakes legal and operational issues. He has extensive experience leading buy- and sell-side M&A transactions, negotiating and drafting complex commercial agreements, and guiding clients through shareholder and partner buyouts, restructurings, and other significant business transitions, including “business divorces.”
In addition to his transactional work, Holden has formed and advised entities ranging from international joint ventures and private equity-backed structures to multi-national holding companies and founder-led businesses, both large and small. He works closely with his clients and is always ready for that 3:00 A.M. call.
Holden is the former Chair of the Partnership and Limited Liability Company Committee of the Business Law Section of the California State Bar and has served as a mentor in its Mentorship Program. He is also an adjunct professor of Business Law at Chabot College in the San Francisco Bay Area.
Prior to joining Scale, Holden was a partner at Fathom Law, where he served on the firm’s management committee.
